LLP Registration
In India, Limited Liability Partnerships (LLPs) are governed by the Limited Liability Partnership Act, 2008. To register an LLP in India, you need to follow a set of procedures. Here is an overview of the LLP registration process and the services involved:
1. Name Reservation:
- Choose a unique name for your LLP, keeping in mind the guidelines provided by the Ministry of Corporate Affairs (MCA).
- Check the availability of the chosen name on the MCA portal.
2. Digital Signature Certificate (DSC):
- Obtain Digital Signature Certificates for the proposed Designated Partners. This is a mandatory requirement for filing documents online.
3. Designated Partner Identification Number (DPIN):
- All designated partners need to obtain a DPIN. This can be done by filing an application with the MCA.
4. LLP Agreement:
- Draft an LLP agreement that outlines the rights and duties of the partners. The agreement needs to be filed with the MCA
5. Incorporation Form (FiLLiP):
- Fill out the FiLLiP (Form for Incorporation of Limited Liability Partnership) form with the necessary details.
6. Registrar of Companies (RoC) Filing:
- Submit the FiLLiP form along with the LLP agreement and other required documents to the RoC.
7. Payment of Fees:
- Pay the applicable fees for filing the incorporation documents.
8. Certificate of Incorporation:
- Once the documents are verified, and the RoC is satisfied, a Certificate of Incorporation will be issued. The LLP is deemed to be incorporated from the date mentioned in the certificate.

It’s important to note that the LLP registration process involves adherence to specific rules and regulations, and professional guidance is often recommended to ensure compliance. Many professional services and consultancy firms in India offer LLP registration services. These service providers typically assist with the entire registration process, including name reservation, drafting the LLP agreement, obtaining DSC and DPIN, filing the necessary forms, and liaising with the RoC.
When choosing a service provider, consider their reputation, experience, and reviews from previous clients. Additionally, check if they offer ongoing compliance services to ensure that your LLP meets all regulatory requirements after registration. Always verify the credentials of the service provider before engaging their services.
